Part A: General Terms

Introduction

Please read these terms and conditions before accessing or using the PFD website.

In using the PFD website, you agree to be bound by these terms and conditions. If you do not accept these terms and conditions, you must stop using the PFD website.

In these terms and conditions, the expressions we, us, our, and PFD are a reference to PFD Food Services Pty Limited (ABN 29 006 972 381).

Amendments to terms and conditions

We reserve the right to amend these terms and conditions from time to time. Amendments will be effective immediately upon notification on the PFD website. Your continued use of the PFD website following such notification will represent an agreement by you to be bound by the terms and conditions as amended.

Australian Consumer Law

Our services may come with guarantees that cannot be excluded under the Australian Consumer Law. For major failures with the service, you are entitled:

●      to cancel your service contract with us; and

●      to a refund for the unused portion, or to compensation for its reduced value.

 

You are also entitled to be compensated for any other reasonably foreseeable loss or damage. If the failure does not amount to a major failure you are entitled to have problems with the service rectified in a reasonable time and, if this is not done, to cancel your contract and obtain a refund for the unused portion of the contract.

Disclaimer

This disclaimer set out in these terms and conditions does not attempt or purport to exclude liability arising under statute if, and to the extent, such liability cannot be lawfully excluded.

We do not accept liability to you for any loss or damage, however caused (including through negligence), which you may directly or indirectly suffer in connection with your use of, or reliance on information contained on or accessed through, the PFD website or any linked website.

To the extent permitted by the Australian Consumer Law and other applicable laws, any condition or warranty which would otherwise be implied into these terms and conditions is hereby excluded. If legislation implies any condition or warranty, and that legislation prohibits us from excluding or modifying the application of, or our liability under, any such condition or warranty (as for example may be the case with consumer guarantees under the Australian Consumer Law), that condition or warranty will be deemed included but our liability will be limited to:

  1. in the case of services provided by us, resupplying the services or payment of the cost of having the services resupplied; or otherwise

  2. to the maximum extent permitted by applicable laws.

 

You indemnify us and our related bodies corporate and our respective officers, employees and agents against all actions, claims and demands (including the cost of defending or settling any action, claim or demand) which may be instituted against us arising out of a failure by you to comply with these terms and conditions.

Warnings

You must ensure that your access to the PFD website is not illegal or prohibited by laws which apply to you.

You must take your own precautions to ensure that the process which you employ for accessing the PFD website does not expose you to the risk of viruses, malicious computer code or other forms of interference which may damage your own computer system. We do not accept responsibility for any interference or damage to your own computer system which arises in connection with your use of the PFD website or any linked website.

While we have no reason to believe that any information contained on the PFD website is inaccurate, we do not warrant the accuracy, adequacy or completeness of such information, nor do we undertake to keep the PFD website updated.

 

Copyright

You acknowledge that the copyright in the PFD website, the software, design, text and graphics comprised in the PFD website, the selection and layout of the PFD website and the content and materials on the PFD website (together, the “Materials”) are owned by or licensed to us or our related bodies corporate.

You must not:

  1. modify, copy, adapt, store in a retrieval system, reproduce, upload, post, transmit, sell, distribute in any way or communicate to the public a Material without our prior written consent; or

  2. frame or embed in another website any of the material appearing on the PFD website without our prior written consent.

 

However, you may store a reproduction of the content on the PFD website on your local computer or print hard copies of the content and Materials for the sole purpose of viewing the content and Materials but not for any other use, including commercial use.

Trade marks

The PFD website contains registered trade marks and other trade marks which are protected by law. You must not use any of the marks or trade marks appearing on the PFD website or our name or the names of our related bodies corporate without our prior written consent. You must not use any of the other company, product and services marks on the PFD website that are owned by other third parties (including our suppliers) without obtaining the relevant third party owner’s consent.

Privacy and Commercial Electronic Messages

You will receive different types of messages from us. Unless you have opted out, you agree to us communicating with you via various channels and media (including by email, SMS, phone, mail and by advertising on certain websites and social media) about our services, newsletters, events and promotions. You agree to continue receiving communications from us until the time that you opt out.

You may opt out of the receipt of commercial electronic messages sent by PFD by using the unsubscribe facility in the footer of any commercial electronic message. This will also opt you out of receiving newsletters, client surveys, requests for feedback and other promotional messages. You can also opt out by emailing hello@PFD.com.au . If you opt out of receiving commercial electronic messages sent by PFD, you will still receive information we are required by law to provide to you or factual information directly about your services, including changes to these terms and conditions and/or our collection notice, privacy policy, transactions or other information relating to services we provide.

Security of information

Unfortunately, no data transmission over the Internet can be guaranteed as totally secure. Whilst we strive to protect such information, we do not warrant and cannot ensure the security of any information which you transmit to us. Accordingly, any information which you transmit to us is transmitted at your own risk. Nevertheless, once we receive your transmission, we will take reasonable steps to preserve the security of such information.

Termination of access and Account closure

  1. We reserve the right to immediately suspend, restrict, or terminate your authenticated portal or e-commerce account, including your login access credentials, at any time without notice, for any reason, including but not limited to a breach of these terms and conditions.

  2. While general access to the public facing areas of the website is open to the public, we reserve the right to block, restrict, or deny access to any specific IP address, network, or user device targeting these public platforms if we detect suspicious activity, security threats, or a violation of these terms.

Acceptable Use

You must use this website for lawful purposes only and in a manner that does not infringe the rights of, or restrict or inhibit the use of the PFD website by others.

You must not, directly or indirectly:

●      Use any spider, crawler, scraper, bot, automated device, or manual process to monitor, harvest, extract, or copy any data, content, or product information from the PFD website without our prior written consent;

●      Interfere or attempt to interfere with the proper working or security of the PFD website, or bypass any security or authentication measures;

●      Decompile, reverse engineer, disassemble, or otherwise attempt to derive source code or underlying structure or algorithms of any part of the PFD website; or

●      Use automated traffic tools or submit excessive request volumes that place an unreasonable or disproportionately large load on our infrastructure.

User Account Responsibilities

If you create an account on the PFD website, you are responsible for maintaining the confidentiality and security of your account credentials (including your username and password). You agree not to share your log-in details with any third party.

You accept full responsibility for all activities, orders, transactions, and communications that occur under your account, You must notify us immediately if you discover or suspect any unauthorised use of your account or any other breach of security. PFD will not be liable for any loss or damage arising from your failure to maintain the security of your account.

Severability

If the whole or any part of a provision of these terms and conditions is void, unenforceable or illegal in a jurisdiction it is severed for that jurisdiction. The remainder of these terms and conditions has full force and effect and the validity or enforceability of that provision in any other jurisdiction is not affected. This clause has no effect if the severance alters the basic nature of these terms and conditions or is contrary to public policy.

Governing law

These terms and conditions and any dispute arising out of or in connection with them or the subject matter of them are governed by the laws in force in New South Wales, Australia. You agree to submit to the non-exclusive jurisdiction of the courts of that jurisdiction. Any rights or remedies to which you are entitled under the Australian Consumer Law arise independently of these terms and conditions and this clause does not apply to any claim you may have under the Australian Consumer Law.

Part B: Supplier Portal Terms

Account Administration and Security

  1. The Supplier must nominate an authorised primary user ("Administrator") to manage the Supplier’s portal access. The Administrator is responsible for creating, managing, and deactivating individual user profiles for the Supplier’s personnel, and assigning appropriate access permissions (including access to costing, pricing, and ordering modules).

  2. The Supplier is solely responsible for maintaining the strict confidentiality of all usernames, passwords, and access tokens issued to its personnel. Credentials must be assigned to individual users and must not be shared.

  3. The Supplier must immediately notify PFD if it becomes aware of, or reasonably suspects, any unauthorised access to its account, credential leaks, or compromised system security. The Supplier remains fully responsible for all actions, uploads, and transactions conducted via its portal accounts until PFD has been formally notified of a breach and has deactivated the affected accounts.

Product Data, Warranties, and Compliance

  1. The Supplier warrants that all product specifications, images, pricing, dimensions, logistical data, and attributes uploaded to the portal are accurate, complete, up-to-date, and able to be substantiated.

  2.  The Supplier warrants that all uploaded materials and product data comply with all relevant Australian laws, industry standards, and mandatory codes. This includes, but is not limited to, strict compliance with the Australian Consumer Law (regarding false, misleading, or deceptive representations), Country of Origin labeling requirements, and the Australia New Zealand Food Standards Code (specifically regarding ingredient lists, allergen declarations, nutritional profiles, and shelf life disclosures).

  3. The Supplier must implement robust quality assurance procedures to monitor the accuracy of its data. If the Supplier identifies an error in any uploaded product information, it must immediately correct the data via the portal or notify PFD in writing if manual intervention is required.

Automated Orders and Electronic Data Interchange (EDI)

  1. The portal enables the transmission of electronic commercial documents, including Purchase Orders (POs), Advanced Shipping Notices (ASNs), invoices, and order confirmations, whether processed via the web interface or an integrated Electronic Data Interchange (EDI) connection.

  2. The Supplier acknowledges and agrees that any Purchase Order transmitted by PFD via the portal or EDI constitutes a valid, binding commercial offer. A binding contract for supply is formed upon the Supplier’s electronic acceptance, confirmation, or fulfillment of that order.

  3. In the event of a technical discrepancy between data transmitted via EDI or the web portal and PFD’s central enterprise resource planning (ERP) system records, PFD’s central system records will prevail as the definitive record of the transaction.

 

B2B Confidentiality and Data Restrictions

  1. All commercial data, inventory forecasts, supply chain analytics, performance reports, proprietary dashboards, and negotiated trading terms accessed through the portal comprise the strictly confidential and proprietary information of PFD.

  2. The Supplier may only use PFD’s Confidential Information for the explicit purpose of fulfilling its supply obligations to PFD. The Supplier must not exploit this data, or permit it to be exploited, for external commercial use, market research, or distribution to any third party without PFD’s express prior written consent.

Suspicious Activity, Abuse, and Suspension

  1. PFD reserves the right to immediately suspend or restrict the Supplier’s access to the portal, without prior notice, if PFD reasonably suspects that the Supplier or its personnel have engaged in:

●      Any fraudulent, abusive, or manipulative trading practices;

●      Unauthorised data scraping, harvesting, or automated extraction of portal data;

●      Conduct that threatens system security, stability, or the data integrity of other portal users; or

●      Actions that violate applicable anti competitive or regulatory frameworks.

2. Where appropriate, PFD reserves the right to refer suspected fraudulent or illegal portal activity directly to relevant law enforcement or regulatory bodies.
